VGC Communications Ltd. (“VGCCL”), was
established in April 1995 with the primary objective of
providing all the communications related services required
by the residents of Victoria Garden City and Ikota shopping
Complex, and thereby to enhance the quality of life and
ability to conduct business activities in those areas of
Lekki Peninsula, Lagos, Nigeria. It has an authorized share
capital of Naira 100,000,000, which has been paid in full.
VGCCL is a subsidiary of Modern Communication Technologies
Ltd. (“MCT”) a company registered in Gibraltar and itself a
wholly owned subsidiary of Globe International Holdings S.A.
(“Globe”) which is a holding company of many companies in
Nigeria with activities in the construction industry,
manufacturing and other activities.
Modern
Communication Technologies Inc. (MCT) is the Communications
arm of Globe International Holdings S.A. As of today, MCT
operates only in Nigeria as MCT or through its subsidiary
VGC Communications Ltd. (VGCCL). MCT own 100% of VGCCL
shares.

Brief History
Community Telecommunications Services
By virtue of location, Victoria Garden City and Ikota
Shopping Complex were outside the reach of the
telecommunication infrastructure of the Nigerian
Telecommunication Limited (“NITEL”). Globe therefore decided
to take the initiative and commenced negotiations with NITEL
through VGCCL for the provision of telecommunications
services to VGC and Ikota Shopping Complex.
In pursuance of the above objective, On the 23rd of May
1995, VGCCL signed an agreement with NITEL (the National
Telephone Company) to provide a telecommunications service
in VGC before the Nigerian Communications Commission (NCC)
was established, and invested in the laying of Fiber Optic
Cables between VGC and the NITEL Exchange in Victoria
Island.
This agreement was cancelled and replaced by a new agreement
signed on 13th of October 1997 with the NCC in line with the
decree regulating communication services in Nigeria, at that
time. NCC granted VGCCL a license to provide community
telephony services in Victoria Garden City and a license to
provide Cabling Services within Nigeria, effective from 1st
December 1997 and valid for a period of 10 years, renewable.
Within a few months of receiving its Community license,
VGCCL completed laying 21 Kilometers of Fiber Optic Cables
between VGC and NITEL Exchange at Saka Tinubu Street,
Victoria Island. It also completed the installation of all
necessary transmission and other equipment (supplied by
SIEMENS) required for high quality voice and data
transmission to and from Victoria Garden City.
VGCCL signed an interconnectivity agreement with NITEL in
February 1998, and within few weeks, we concluded the
necessary interconnectivity testing of its telephone network
to NITEL’s Network. The connection was carried out at the
point of interconnectivity at NITEL’s Exchange.
The PABX at VGCCL was fully operational and VGCCL decided to
take advantage of its Fiber Optic Infrastructure and started
to widen the base of its operations to include the provision
of telecommunications services to the
commercial/professional center of Victoria Island. This
decision has paid for itself and as of today, the company is
showing continuous growth.
The agreement with Nitel was overtaken by events by the
establishment of the Nigeria Communication Commission (“NCC”).
VGCCL found an opportunity to become a PTO and towards the
end of 1998, the NCC licensed VGCCL as a Community Private
telecommunications Operator (“PTO”).
Private National Network Links Services
On March 1st 1999, NCC upgraded VGCCL’s license from
provider of community telephony services to National Private
Network Link with License No. PNL/NAT/002/99.
This License allows VGCCL to provide Cabling and Radio
telephone services all over the country.
Since year 2000, VGCCL has concentrated on providing
services to large corporate customers (multi-nationals, oil
companies, banks and Embassies) who are located in highly
geographically concentrated centers and to smaller customers
en-route to these corporate customers.
In January 2002, VGCCL commissioned a new Modern Digital
Exchange (EWSD) manufactured by SIEMENS, and an SMA – 4
digital transmission equipment. Expandable up to 100,000
lines, this system has been upgraded as new software
releases are made, and we have recently commissioned an
STM-64 transmission system on our Lagos fibre optic backbone
ring.
